Geoff Krouse and Walter Rogers Teach Courses at Duke Law School

RALEIGH, N.C. – Smith Anderson partners and Duke University Alumni Geoffrey Krouse and Walter R. Rogers, Jr., recently taught classes at Duke Law School as a part of the Law School's 2013 Wintersession.

Geoff practices within the Firm’s capital markets group and presented a course on “Capital Markets and Advanced Business Strategy.” In the class, Geoff provided an overview of the basics of the initial public offering process (IPO), including pre- and post-IPO governance issues. Students examined recent IPO disclosures and the impact of the JOBS Act on the IPO process. Particular attention was paid to governance topics, including voting structures, board of director requirements and composition, and on-going reporting requirements of public companies. 

For the third consecutive year, Walter, who practices within the Firm’s tax group, taught a course on “Creating an Entity.” The course provided an introduction to the variety of legal entities available for business and philanthropic purposes, the several legal disciplines (e.g., corporation law, tax law, securities law and commercial law) involved in the formation of an entity, and related choice of entity considerations. Students also learned to prepare organizational documents for business corporations and limited liability companies.

About Geoffrey R. Krouse
Geoff’s practice includes representing public and private buyers and sellers in mergers and acquisitions and recapitalization transactions, representing issuers and underwriters in public offerings and private placements of securities, and assisting companies with other corporate and compliance matters. Mr. Krouse has experience working with a variety of clients including public and private companies, investment banks and private equity firms in various industries including pharmaceutical services, technology, paper, and oil & gas, among others.

About Walter R. Rogers, Jr.
Walter regularly represents a variety of clients in matters involving, federal, state, and local taxation and in business transactions with tax implications. He is involved with tax planning for businesses, individuals, trusts and estates, as well as resolving tax controversies and advising tax-exempt organizations in matters of formation and operation. His practice also includes assisting individuals with estate planning and advising executors, trustees and beneficiaries in matters of estate and trust administration. His work in business transactions involves not only acquisitions and dispositions of business enterprises, but also assisting corporations, partnerships and limited liability companies with matters of formation and operation.
