Margaret Rosenfeld Moderates Panel on Corporate Governance at National Association of Corporate Directors Event

Raleigh, NC (March 1, 2010) – Margaret Rosenfeld, a partner in Smith Anderson’s Corporate Law Practice, moderated a panel at an event hosted by the Research Triangle Chapter of the National Association of Corporate Directors (NACD) on February 18, 2010. The panel topic, “Finding the Right Directors at the Right Time,” focused on the critical role played by a nominating committee in Board composition and direction.

Included in the panel were: Peter Browning who has served on the boards of eleven public companies and as CEO of two; Ron Doggett, retired chairman and CEO of Good Mark Foods; Marco Fregenal, founder, president and CEO of Carpio Solutions and George Walls, current director of PNC Financial Services.

Rosenfeld initiated the discussion that addressed the most effective sources for board candidates and how to identify and define the qualifications required of board members. Members of the panel answered questions about processes required to assure the effectiveness of a board nominating committee and what outcomes are critical to the process. The panel also examined the potential conflicts of interest that can arise when identifying board members.

Rosenfeld has extensive experience in corporate and securities law both within the United States and internationally. Her practice includes corporate governance, public company reporting, public offerings and private placements of securities, corporate investigations (internal and government), mergers and acquisitions, and intellectual property protection and licensing as well as general corporate representation.

Smith Anderson is a founding member of the local Research Triangle Chapter – NACD and Ms. Rosenfeld serves as a member of the executive committee of the Board of Directors.
